Hungary company formation in 2026: a Kft. registers in days at zero court fee with 9% corporate tax — plus the local business tax and mandatory attorney.
Nine per cent is the lowest headline corporate tax rate in the European Union, and Hungary has built a decade of inbound investment marketing on it. The number is real. It is also not the whole rate, and the formation process has one mandatory participant that quotes tend to leave out.
Here is the short version. A Hungarian Kft. — the private limited company roughly four in five Hungarian businesses use — is registered in about one to three business days through the simplified electronic procedure, and the court registration fee is zero. Minimum capital is HUF 3,000,000, around EUR 7,500, with at least half the cash contribution paid before registration and the balance within a year. Corporate income tax is a flat 9%. A Hungarian attorney must draft and countersign the articles; this is legally mandatory and you cannot self-file. Municipal local business tax of up to 2% of adjusted net revenue applies on top.
How to register a Kft.
- Engage a Hungarian attorney (ügyvéd), reserve the company name, and prepare the articles of association together with the founder KYC documents.
- Sign the articles and a power of attorney. If you sign abroad, the power of attorney must be apostilled or consular-legalised and accompanied by a Hungarian certified translation.
- Appoint a managing director (ügyvezető) — who may be a non-resident foreigner — and, if you have no Hungarian address, a delivery agent (kézbesítési megbízott) for service of process.
- The attorney countersigns and files electronically with the Court of Registration, the Cégbíróság. The company receives its registration and tax numbers.
- Open a Hungarian corporate bank account, pay in the required share capital, and register for VAT and local business tax with NAV.
Steps one to four are fast. Step five is not.
The zero fee that is not free
Registering a Kft. through the simplified electronic procedure has been fee-free since 2017. The regular procedure and later amendments still carry duties, but a straightforward formation pays the state nothing.
This is a genuinely attractive headline and a slightly misleading one, because attorney countersignature is compulsory. You are paying for legal work, certified translation and apostille whether or not the court charges you. Budget realistically rather than reading zero and stopping there.
What 9% actually costs
Corporate income tax is a flat 9% as of 2026 — the lowest headline rate in the EU by a clear margin.
Local business tax, HIPA, adds up to 2% of adjusted net revenue and is set by each municipality. Note the base: it is levied on revenue less certain deductions, not on profit, so a low-margin business can find HIPA a bigger burden than the corporate tax itself. Budapest and most substantial towns levy at or near the maximum.
Large multinational groups face the Pillar Two top-up to 15%, which removes the advantage entirely at that scale. Hungary resisted the directive longer than most and then implemented it.
Everything — filings, accounting, correspondence — is conducted in Hungarian. That is a standing cost for a foreign owner, not a one-off.
Capital, directors and audit
Minimum capital is HUF 3,000,000, approximately EUR 7,500. At least half of the cash contribution must be paid in before registration, with the balance due within one year — a middle path between the EU jurisdictions that abolished minimum capital and those that demand it all up front.
There is no residency requirement for the managing director; a non-resident foreigner can hold the role. Founders without a Hungarian address appoint a delivery agent.
Statutory audit is exempt where both two-year averages are met: net sales revenue not exceeding HUF 600 million, raised from HUF 300 million effective 2025, and average headcount not exceeding 50. The exemption is lost if the company has more than HUF 10 million of overdue public dues at the balance-sheet date, which is an unusual and worth-noting condition.
Banking is the bottleneck
Hungarian banks apply heavy KYC to non-resident owners and may require an in-person visit. Since share capital has to be paid into a Hungarian corporate account, this is not a step that can be deferred indefinitely. The one-to-three-day registration figure is accurate and describes only the court stage; a realistic end-to-end timetable for a foreign founder runs to several weeks.
Who this is actually for
Hungary suits a founder who wants an onshore EU company with genuinely low corporate tax, full single-market access and a fast, cheap registration, and who can tolerate mandatory attorney involvement and Hungarian-language administration. For a profitable operating business inside the EU it is one of the strongest arithmetic cases available.
It suits poorly anyone needing English-language administration, anyone who cannot travel for banking, and low-margin high-revenue businesses for which HIPA on turnover distorts the picture. The natural comparisons are Estonia, which charges nothing until profits are distributed and registers in a day online but leaves you with an EMI account, and Ireland, which charges 12.5% with English-language administration and better banking. Hungary wins on rate. It loses on friction.
