Belize company formation in 2026: the IBC is gone and the bank is the problem
Belize company formation after the Companies Act 2022: no more IBC, USD 150 registration, 1–3 days — and the banking and substance rules that decide it.
Belize spent thirty years selling the International Business Company, and a great deal of the internet still does. The IBC no longer exists. The Companies Act 2022 repealed the International Business Companies Act, folded offshore vehicles into a single company register under the Belize Companies and Corporate Affairs Registry, and reopened for business in November 2022. If a provider is quoting you an IBC in 2026, they are quoting from an old price list.
Here is the short version. A Belize company limited by shares is registered in one to three business days through a licensed registered agent. Government registration is BZD 300 — about USD 150 — for authorised capital up to BZD 50,000. There is no minimum paid-up capital, no resident-director requirement and no general audit. Foreign-source income is taxed at 0% under a territorial system, but that exemption is now conditional on proving tax residence elsewhere, and the hard part is not registration. It is opening a bank account.
How to register a company in Belize
- Engage a licensed registered agent and reserve the name with the BCCAR. You cannot self-file from abroad; the agent is the channel.
- Prepare the memorandum and articles, with director and shareholder particulars and full KYC and due-diligence documents.
- Set the authorised share capital. The convention is USD 50,000, chosen to stay inside the lower fee band. Nothing needs to be paid up.
- File and register. BCCAR issues an e-certificate of incorporation and a unique nine-digit company number.
- Register for a TIN with the Belize Tax Service and address economic-substance and foreign-tax-residency obligations.
- Open a bank account, almost always offshore, because local banking appetite is limited.
Steps one to four take days. Step six can take months, or fail.
What it costs
Government fees are genuinely low: BZD 300, roughly USD 150, for authorised capital up to BZD 50,000, and BZD 2,000 — about USD 1,000 — above that. An International LLC is USD 150. This is why the standard authorised capital is set at USD 50,000: it is the last figure inside the cheap band.
Those are state charges only. The registered agent's formation and annual fees are separate and are the recurring cost.
The tax position, and the condition attached to it
Belize operates a territorial system. Foreign-source income is taxed at 0%. Belize-source trading receipts carry a business tax of roughly 1.75%, rising to about 6% for professional services and up to 19% in regulated sectors.
The 0% is conditional, and this is the part that changed. To claim the foreign-income exemption a company must evidence tax residence in another jurisdiction and the absence of a Belize permanent establishment. Official guidance on exactly what documentation satisfies that is still developing as of 2026, which is an uncomfortable place for a structure to sit. Economic-substance rules apply alongside it.
Read that condition carefully, because it inverts the old logic. The classic offshore play was a company that was tax resident nowhere. A Belize company claiming the exemption has to be tax resident somewhere — and wherever that somewhere is will want to tax it.
Banking is the real constraint
Belize sits under sustained EU and OECD scrutiny, and correspondent-bank de-risking has made accounts slow to open, subject to enhanced due diligence, and prone to being closed later. Plenty of banks and payment institutions decline Belize entities on sight, without reference to the specific client.
Anyone treating incorporation as the milestone has the sequence wrong. Establish that you can bank the structure before you pay to create it.
What the company does and does not require
There is no minimum paid-up capital. A single director suffices, individual or corporate, of any nationality, with no residency requirement. Audit is not generally required — accounting records are kept at the registered agent — and applies only to licensed or regulated activities. Formation is fully remote.
That lightness is real, and it is also the reason banks are cautious. The two facts are the same fact.
Who this is actually for
A Belize company works as a territorial-tax holding or trading vehicle for income arising wholly outside Belize, held by someone who already has a banking solution and a defensible tax residence for the entity. It is a component in a structure, not a structure.
It works badly as a privacy tool — Belize participates in CRS reporting — and badly for anyone whose home country applies controlled-foreign-company or place-of-management rules, which will tax the profits regardless of what the certificate says. The headline zero rate rarely survives contact with the founder tax return.
If the goal is a low-cost offshore holding vehicle with better banking access, the British Virgin Islands charge more — USD 550 to register and USD 550 annually — and buy meaningfully more acceptance. If the goal is an onshore company with real bank access and a low rate, Hungary at 9% or Estonia at 0% on retained profit are different products aimed at the same instinct.

What the extra buys is banking and counterparty acceptance: BVI companies are a familiar sight in cross-border deals and joint ventures, while Belize entities are frequently declined. Both are CRS-reporting, both have economic-substance regimes, and neither offers meaningful confidentiality any more. If the vehicle needs to open accounts or sit in a transaction with institutional counterparties, the BVI premium is usually worth paying.
