Jersey company cost: GBP 205 to file, but the administrator sets the real price

Jersey charges GBP 205 to file, GBP 856 for the two-hour service. Why the administrator and substance, not the fee, set the real cost.

Jersey does not sell a low fee. It sells recognition. A Jersey company turns up in private equity holding stacks, real estate SPVs and fund structures because lenders and the other side's lawyers already know its law and its regulator. The registry fee is the least interesting number in the file.

Here is the short version. A Jersey private company limited by shares is incorporated under the Companies (Jersey) Law 1991 through the JFSC's myRegistry portal. The 2026 registry fee is GBP 205 for the standard five-business-day service, GBP 308 for three days, GBP 395 for two, GBP 543 for one and GBP 856 for two hours, plus GBP 10 to reserve a name. The annual confirmation statement, due by the end of February, costs GBP 339 for a company administered by a trust company or fund services business, or GBP 220 for an ordinarily administered one, each including a government levy. There is no minimum share capital and no resident-director rule. Corporate income tax is 0% as standard, 10% for certain financial services companies and 20% for utilities, Jersey property income and large retailers. A private company needs no audit unless its articles or its members require one.

How to incorporate a company in Jersey

  1. Engage a Jersey-regulated trust company business as registered office and filer. Company law requires a Jersey registered office at all times; in practice a non-resident owner files through a regulated provider.
  2. Clear KYC on every beneficial owner, controller and director, and reserve the name through myRegistry for GBP 10.
  3. Prepare the memorandum and articles. Since 1 June 2026 a par value company no longer has to state a maximum authorised share capital; a handful of GBP 1 shares is normal.
  4. File online, choose a service level and pay. Appoint at least one director and a secretary; a sole director cannot also be the secretary.
  5. Settle tax residence and substance before the company earns anything.

The filing fee is the smallest number

GBP 205 is what the Jersey Financial Services Commission charges. It is not what a Jersey company costs. Registered office, secretary, compliance and filings come from a regulated administrator whose fees are set commercially and recur every year.

Even the JFSC schedule hints at this: an administered company pays GBP 339 a year to confirm, more than it paid to incorporate, and late statements cost up to GBP 774. Guernsey gets there by statute, since only a licensed fiduciary may file; Jersey gets there in practice.

Zero-ten, read carefully

The 0% standard rate covers most company income. 10% applies to certain financial services companies. 20% applies to utilities, to income from Jersey property rental, development, quarrying and hydrocarbon oil importation, and to retailers with turnover of GBP 2 million or more once profits pass GBP 750,000, sliding up from GBP 500,000. There is no capital gains tax and no withholding tax on dividends. Unlike Guernsey, Jersey charges 5% GST, with registration compulsory once taxable supplies reach GBP 300,000 in 12 months.

Two rules matter more than the rates. A Jersey-incorporated company is non-resident only if it is centrally managed and controlled in a jurisdiction whose highest rate on its income is at least 10%, and that jurisdiction accepts it as resident. A company run from London can be UK-resident; one run from the BVI stays Jersey-resident. And the Multinational Corporate Income Tax (Jersey) Law 2025 charges 15% on the Jersey entities of groups with global revenue of EUR 750 million or more, for fiscal years from 1 January 2025.

Substance is where tax neutrality gets tested

The Taxation (Companies – Economic Substance) (Jersey) Law 2019 applies to Jersey tax-resident companies with gross income from nine relevant activities: banking, insurance, fund management, finance and leasing, headquarters, shipping, holding company business, intellectual property holding, and distribution and service centre business. Such a company must be directed and managed in Jersey, have adequate employees, expenditure and physical assets there, and carry out its core income-generating activities on the island.

Collective investment fund business is outside the list, although a self-managed fund has its own substance test; fund management business is inside it. Joint Crown Dependency guidance sets reduced requirements for a pure equity holding company, but the statute gives it no exemption from the directed-and-managed test. Compliance is reported in the corporate tax return. Failure costs up to GBP 10,000 for the first year and up to GBP 100,000 if it continues into the next, and information can go to the tax authorities where the parent or owners reside.

Jersey vs Guernsey, BVI and Cayman

Jersey and Guernsey are close substitutes: Crown Dependencies with 0/10/20 systems built around regulated administrators. Guernsey is cheaper and faster at the registry, GBP 100 in about one business day, and has no GST. Jersey modernised its company law from 1 June 2026, including ending the rule that treated a private company with more than 30 members as public, which suits co-investment SPVs.

The BVI registers a company for US$550 and Cayman from US$853, with no corporate tax in either. The BVI is the cheaper plain holding vehicle, and Cayman is the more established offshore fund domicile. Jersey's case is its UK time zone, UK and European deal flow, and a regulated industry counterparties rarely question.

Who this is actually for

A holding company, SPV or fund-adjacent vehicle in an institutional structure: bank finance, co-investors, UK or European assets, an exit a buyer's lawyers will diligence. There, the administrator's fee buys something real.

It is the wrong vehicle for a cheap or quiet offshore company. Beneficial ownership sits with the registry and Jersey exchanges tax information automatically. For minimum running cost, the BVI does most of the job. For the Crown Dependency model with a lower registry fee and no GST, look at Guernsey first.

Frequently asked

How much does it cost to set up a company in Jersey?

The JFSC registry charges GBP 205 for standard five-business-day incorporation in 2026, GBP 308 for three days, GBP 395 for two, GBP 543 for one and GBP 856 for two hours, plus GBP 10 to reserve a name. The annual confirmation statement then costs GBP 339 for a company administered by a trust company or fund services business, or GBP 220 for an ordinarily administered entity, including a government levy. Those figures are the minor part of the budget. A Jersey registered office, secretary and regulated administration are recurring professional fees, and for a company with relevant activities, local directors and substance add more.

How long does company incorporation in Jersey take?

At the registry, five business days on the standard GBP 205 service. The JFSC also offers three-day, two-day and one-day service levels, a two-hour option at GBP 856, and out-of-hours processing by agreement from GBP 1,548. That timetable only starts once documents are filed through myRegistry. Before then, the regulated service provider acting as registered office has to complete KYC on every beneficial owner, controller and director and agree the memorandum and articles, which usually takes longer than the registry itself. The two-hour tier makes sense for a transaction deadline, not for an ordinary holding company with no closing date.

Do I need a resident director for a Jersey company?

Not under company law. A private Jersey company needs at least one director, who can be of any nationality or residence, and it must have a company secretary, who cannot be the sole director. It must also keep a registered office in Jersey at all times, which for a non-resident owner is in practice provided by a regulated trust company business. Tax is a different question. If the company earns income from a relevant activity such as holding, financing or fund management, the economic substance law requires it to be directed and managed in Jersey, with board meetings on the island, so local directors become a practical necessity.

Is a Jersey offshore company tax-free?

Mostly, but not entirely. The standard corporate rate is 0%, and certain financial services companies pay 10%. A 20% rate applies to utilities, to income from Jersey property rental, development, quarrying and hydrocarbon oil importation, and to retailers with turnover of GBP 2 million or more once profits exceed GBP 750,000, sliding up from GBP 500,000. There is no capital gains tax and no withholding tax on dividends, but 5% GST applies once taxable supplies reach GBP 300,000 a year. Jersey entities of groups with global revenue of EUR 750 million or more pay a 15% multinational corporate income tax for fiscal years from 1 January 2025.

Does a Jersey holding company need economic substance?

Usually yes, if it is Jersey tax resident and earns income from holding company business, meaning it mainly acquires and holds shares and carries on no commercial activity. The Taxation (Companies – Economic Substance) (Jersey) Law 2019 requires such a company to be directed and managed in Jersey, with adequate employees, expenditure and physical assets there, and its core income-generating activities carried out on the island. Joint Crown Dependency guidance sets reduced requirements for a pure equity holding company, but there is no exemption. Compliance is reported in the corporate tax return, and failure risks penalties of up to GBP 10,000, then GBP 100,000 if it continues.

Jersey or Guernsey for a holding company?

They are close substitutes, so the decision is usually practical. Both are Crown Dependencies with a 0% standard corporate rate, 10% and 20% rates for specific sectors, and economic substance rules. Guernsey is cheaper and faster at the registry, with GBP 100 incorporation in about one business day, and has no GST, but only a licensed fiduciary may file. Jersey charges GBP 205 for five-day incorporation and has 5% GST, and its company law was modernised from 1 June 2026. Choose the island where you find an administrator you trust at a price you accept, and where your lenders expect to see the vehicle.
