The process

  1. Engage a licensed Israeli attorney and prepare the Articles of Association, incorporation application (Form 1) and notarised director/shareholder declarations, typically executed under power of attorney.
  2. File online with the Registrar of Companies (Rasham HaChavarot) and pay the fee; receive the company number and certificate of incorporation.
  3. Register with the Israel Tax Authority (corporate file), the VAT unit and Bituach Leumi (National Insurance); appoint a local VAT representative if all owners are non-resident.
  4. Open a corporate bank account (branch or limited video KYC) and appoint a licensed auditor for the mandatory annual audit.
What can go wrong
  • The company registration is fast, but opening the corporate bank account is the real bottleneck - expect 8-12 weeks and heavy KYC, often smoother with a local director or representative.
  • If every owner is non-resident, VAT registration typically requires appointing an Israeli fiscal representative, adding cost and a local touchpoint.
  • The universal annual statutory audit is a recurring compliance cost even for tiny or dormant companies - factor it into ongoing budget.
