The process
- Reserve the company name (denominació social) with the Govern d'Andorra and obtain the favourable resolution.
- File the direct foreign-investment authorisation for each non-resident holder >10% (in person or via e-tramits) and await approval (~10-15 business days).
- Execute the public deed of incorporation and articles before an Andorran notary (in person or by power of attorney) and deposit the EUR 3,000 capital.
- Notary submits the deed to the Registre de Societats Mercantils for registration; then obtain the tax number (NRT) and, for trading companies, the Trade & Industry Register / comerç authorisation.
What can go wrong
- The foreign-investment authorisation is a hard gatekeeping step for non-residents and is the main source of delay — budget weeks, not days, and expect requests for supporting documents.
- The headline 10% is not the floor: a 3% minimum effective rate applies to profits, and the advertised 2% new-company / holding rates depend on meeting substance and activity conditions that many passive setups won't satisfy.
- Opening the Andorran bank account (needed to deposit capital and operate) is itself a slow, high-KYC process and can extend the real timeline well beyond the incorporation formalities.
