The process

  1. Choose a company name and secure a Georgian registered address, with the owner's consent to use it
  2. Prepare the charter and shareholders' resolution in Georgian (with English translation), plus notarised, apostilled passport copies and a power of attorney if filing remotely
  3. File at the Public Service Hall (National Agency of Public Registry) and pay the GEL 100 fee (GEL 200 for same-day); the company and its tax ID are issued the next business day
  4. Register for VAT once taxable turnover exceeds GEL 100,000 in any 12 months (18% rate), and apply for Virtual Zone or International Company status if eligible
  5. Open a corporate bank account, in person or remotely subject to the bank's enhanced due diligence
What can go wrong
  • The 15% is deferred, not forgiven: it crystallises on dividend distribution or non-business spending, so undistributed-profit planning is central.
